1. Welcome to the Inner Mind Institute!

1.1 Introduction: Inner Mind Institute (Inner Mind Institute / IMI / we / us / our) provides its services (described below) to you through its website located at innermindinstitute.org (the “Site”) and through its mobile applications and related services (collectively, such services, including any new features and applications, and the Site, the “Service(s)”), subject to the following Terms of Service (the “Terms of Service”). PLEASE READ THESE TERMS OF SERVICE CAREFULLY, AS THEY GOVERN YOUR USE OF THE SITE AND SERVICES.

1.2 Modifications to Terms and Conditions: We reserve the right, at our sole discretion, to change or modify portions of these Terms and Conditions at any time. If we do this, depending on the nature of the change, we will post the changes on this page and indicate at the top of this page the date these terms were last revised and/or notify you, either through the Services’ user interface, in an email notification or through other reasonable means and as required by applicable law. Any such changes will become effective no earlier than fourteen (14) days after they are posted, except that changes addressing new functions of the Services or changes made for legal reasons will be effective immediately. Your continued use of the Service after the date any such changes become effective constitutes your acceptance of the new Terms and Conditions. In addition, when using certain Services, you will be subject to any additional terms applicable to such Services that may be posted on the Service from time to time.

1.3 Liability: The IMI is a provider of online and mobile meditation and mindfulness content in the health & wellness space. We are not a health care or medical advice provider, nor should our Products be considered medical advice.

The IMI does not accept any liability regarding physical or mental injuries, loss or damage, arising from your use of our Website or participation in our Courses, Training Programs, Retreats or Events.

2. Access and Use of the Service

2.1 Use Description: The Inner Mind Institute’s service, and any content viewed through our service, is solely for your personal and non-commercial use. 

2.2 Cooling Off Period: If you have not commenced the Course, Workshop, Training Program, you have a statutory right to cancel and receive a full refund, within 14 days (cooling off period) of submitting your application. 

If you commence your Course/Workshop/Training, download or play content that is placed on our website/learning platform during the 14-day cooling off period, your right to cancel with a full refund is withdrawn and you will be liable to pay the full fee.

2.3 Your Registration Obligations: In order to access and use certain features of the Service, you may be required to register with the Inner Mind Institute. If you choose to register for the Service, you agree to provide and maintain true, accurate, current and complete information about yourself as prompted by the Service’s registration form. Registration data and certain other information about you are governed by our Privacy Policy. If you are under 13 years of age, you are not authorized to use the Service, with or without registering. In addition, if you are under 18 years old, you may use the Service, with or without registering, only with the approval of your parent or guardian.

2.4 Membership, Access and Communication: With your IMI’s membership we grant you a limited, non-exclusive, non-transferable, license to access the IMI’s content and view your Course/Training/Event/Retreat/… through the service on a streaming-only basis for that purpose. Except for the foregoing limited license, no right, title or interest shall be transferred to you. You agree not to use the service for public performances. The Inner Mind Institute may revoke your license at any time in its sole discretion. Upon such revocation, you must promptly destroy all content downloaded or otherwise obtained through the service, as well as copies of such materials, whether made in accordance with these Terms of Service or otherwise.

As a Member of the Inner Mind Institute you will receive access to certain sections, features and functions of the Products that are not available to non-members.

IMI membership accounts and subscriptions are not transferable and therefore you agree to not sell, transfer, or exchange membership accounts or subscriptions in any way or under any circumstance. This expressly applies to any discounted, subsidized, or free accounts or subscriptions. 

By agreeing to become a Member you may receive occasional special offer, marketing, and survey communication emails with respect to the Product. You can easily unsubscribe from IMI’s commercial emails by following the opt-out instruction in these emails.

2.5 Member Account, Password and Security: In order to use certain features of the Services, you must register for an account. You are responsible for maintaining the confidentiality of your account, password and other User Information and for restricting access to your Device to further help protect such information. You are responsible for updating your User Information. 

If you have reason to believe that your account is no longer secure (e.g., in the event of a loss, theft, or unauthorized disclosure or use of your account ID or password), then you agree to immediately notify the Inner Mind Institute by sending an email to mindful@innermindinstitute.org. You may be liable for the losses incurred by the Inner Mind Institute or others due to any unauthorized use of your Services account.

2.6 Modifications to Service: The Inner Mind Institute reserves the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that Inner Mind Institute will not be liable to you or to any third party for any modification, suspension or discontinuance of the Service. We have no obligation to retain any of Your Account or Submitted Content for any period of time beyond what may be required by applicable law.

2.7 General Practices Regarding Use and Storage: You acknowledge that the Inner Mind Institute may establish general practices and limits concerning use of the Service, including without limitation the maximum period of time that data or other content will be retained by the Service. You agree that the Inner Mind Institute has no responsibility or liability for the deletion or failure to store any data or other content maintained or uploaded by the Service. You acknowledge that the Inner Mind Institute reserves the right to terminate accounts that are inactive for an extended period of time. You further acknowledge that the Inner Mind Institute reserves the right to change these general practices and limits at any time, in its sole discretion, with or without notice.

2.8 Mobile Services: The Service may include certain services that are available via a mobile device. To the extent you access the Service through a mobile device, your wireless service carrier’s standard charges, data rates and other fees may apply. In addition, not all Mobile Services may work with all carriers or devices.

3. Conditions of Use

3.1 User Conduct: You are solely responsible for all content (for example video, images, information, text, sound, photographs, messages, etc) that you upload, post, publish or display or email or otherwise use via the Service. The Inner Mind Institute reserves the right to investigate and take appropriate legal action against anyone who, in the Inner Mind Institutes sole discretion, violates this provision, including without limitation, removing the offending content from the Service, suspending or terminating the account of such violators and reporting you to the law enforcement authorities.

3.2 Promotion and discount codes: Any promotion code or offer provided by us may not be used in conjunction with any other promotion code or offer, past or present. Introductory offers are only available to new users of the Products, except where expressly stated otherwise. Previous users or trial users of the Products do not qualify as new users. No promotion code or discount will apply to corporate or other Community subscriptions. 

Unless otherwise set forth in the terms of any promotion, all pricing promotions or discounts will apply to the initial period of the subscription, and any renewals will be charged at the non-discounted rate for the type of subscription purchased.

4. Subscription

4.1 Access to Products: IMI account holders may access the Products via “IMI Plus”, a subscription fee-based program, which gives access to all content within the Products. You will only have access to IMI Plus while your paid subscription is active and subsisting.

4.2 Monthly Subscription: You may access IMI Plus via a monthly subscription option. For the purposes of our monthly subscriptions, a month constitutes 30 calendar days. 

Our monthly subscription is paid in monthly installments. For each month that your monthly subscription is active, you acknowledge and agree that IMI is authorized to charge the same credit card as was used for the initial subscription fee or other payment method as set forth in section 4.7 (the Payment Method). The monthly renewal subscription fees will continue to be billed to the Payment Method you provided until cancelled. You must cancel your subscription before it renews in order to avoid billing of the next month’s subscription fee to the Payment Method you provided. Refunds cannot be claimed for any partial-month subscription period.

4.3 Yearly Subscription: You may access IMI Plus via an annual subscription option. For the purposes of our yearly subscriptions, a year constitutes 365 calendar days. 

Our yearly subscription is paid for by an upfront payment with automatic annual renewals. You acknowledge and agree that IMI is authorized to charge the Payment Method used for (i) the initial annual subscription fee at the rate secured at the time of purchase, and (ii) the non-discounted renewal subscription fee(s). You must cancel your subscription before it renews in order to avoid billing of the renewal subscription fee to the Payment Method you provided. Refunds cannot be claimed for any partial subscription period.

4.4 Notification of Changes: You agree to promptly notify IMI of any changes to the Payment Method you provided while any subscriptions remain outstanding. You are responsible for all applicable fees and charges incurred, including applicable taxes, and all subscriptions purchased by you.

4.5 Changes to Subscription by IMI: We reserve the right to change our subscription plans or adjust pricing for our service or any components thereof in any manner and at any time as we may determine in our sole and absolute discretion. Except as otherwise expressly provided for in these Terms, any price changes or changes to your subscription plan will take effect following notice to you. 

4.6 Cancellation of Subscription by User: You may cancel a Monthly or Yearly subscription at any time. Cancellation is effective at the end of the applicable monthly or yearly period. Please make any such cancellation by visiting here or emailing mindful@innermindinstitute.org. 

4.7 Payment Method: You can pay for our Services through different payment methods which are mentioned on the registration page appropriate for the relevant Course or Training Program or Event or via any web-enabled link the IMI has provided. 

In the course of your use of the Products, IMI and its third party payment service provider may receive and implement updated credit card information from your credit card issuer in order to prevent your subscription from being interrupted by an outdated or invalid card. This disbursement of the updated credit card information is provided to IMI and IMI third party payment service provider at the sole election of your credit card issuer. Your credit card issuer may give you the right to opt-out of the update service. Should you desire to do so, please contact your credit card issuer.

Payment should be made by the Applicant using the registration page appropriate for the relevant Course or Training Program or Event or via any web-enabled link the IMI has provided. Invoices may only be raised where an employer is paying and with agreement from the IMI.

Payment of any IMI invoice is due within 14 calendar days of the invoice date to the bank account provided. Interest or administration costs on the overdue sums may be payable from the payment due date.

All sums payable to the IMI under this agreement are inclusive of VAT and an amount equal to any VAT chargeable on those sums will be due on delivery of a VAT invoice.

For some of our Courses, Training Programs, Retreats and Events an ‘Early Bird Discount’ is applicable. This discount is valid till the date mentioned on our Website or Registration Page. After this date, the normal rate applies.

4.8 Security of Your Place: Unless agreed in writing by the IMI, no place is secure on a Course, Training Program, Retreat or Event until full payment has been received. Once an invoice has been raised, your place is dependent on prompt payment within the stated payment terms. Your place may be released if these are not met. 

Responsibility for payment remains with the Applicant. If an employer or sponsor does not pay the invoice the Applicant will be liable to make payment or meet the cancellation charges. 

Charges will apply regardless of any non-attendance.

5. Changes to Courses, Training Programs, Retreats and Events 

The IMI shall use reasonable endeavours to supply the Courses,Training Programs, Retreats or Events to the Applicant in accordance with these Terms and Conditions in all material respects but reserves the right to change the content of any of the Courses, Training Programs, Retreats or Events at any time and without notice. 

The IMI shall use reasonable endeavours to meet any specified training or event dates, but any such dates shall be anticipated dates only and may be subject to alteration. 

The IMI reserves the right to amend these terms if necessary to comply with any applicable law or regulatory requirement, or if the amendment will not materially affect the nature or quality of the Courses, Training Programs, Retreats or Events, and the IMI shall notify the Applicant in any such event. 

Notwithstanding the above sub-clauses, the IMI reserves the right to cancel Courses, Training Programs, Retreats or Events at any time, without incurring additional liability to the Applicant. In such circumstances, the IMI will offer (at its sole discretion) alternative dates, a full refund, or a credit note. 

6. Teacher Training

6.1 Program: Information about the training program is available on the IMI website and further details are provided at information sessions. It is expected that potential trainees use these information routes to familiarise themselves with the learning goals and training activities, requirements for training completion, and what to expect when the program is completed. 

6.2 Requirements: Trainees are asked to pay particular attention to the requirements for training  completion. During the program, trainers (with supplementary feedback from mentors) will monitor trainees’ progress toward stated goals and will provide feedback to them and to other IMI staff involved in the program as necessary. 

Mentoring sessions provide trainees with additional opportunities to cultivate the necessary skills. 

If a trainee is unable to demonstrate the required skills, it may be necessary to discontinue their participation on the program. If this happens, the IMI will engage fully with the trainee in question, discuss all the available options, and provide guidance on how best to move forward.

6.3 Fitness to Practice: The use of the term ‘Fitness to Practice’ refers to having the skills, knowledge, health, and character to teach mindfulness safely, competently and with integrity. 

This Policy was developed to meet the IMI’s responsibilities to: 

  • Ensure that trainees are fit to practice and teach mindfulness in accordance with the training offered within each specific training route.
  • Upon full completion of the teacher training program of study, ensure that only trainees who are considered fit to practice are eligible to apply for any form of teacher certification. 
  • To safeguard public confidence in the mindfulness teaching profession.

6.4 Payment: Your place is not confirmed until full payment has been made. After payment has been made you can directly start the Teacher Training Program on our Online Platform. Please also note Article 2.2 of these Terms and Conditions.

Personal Guidance is optional and can be requested at any time. 

If we do not receive this balance in full and on time, we reserve the right to treat your booking as cancelled by you in which case the cancellation charges may become payable.

6.5 Cancellation: If you cancel your place at any time outside of the 14 day cooling off period, you will be liable to pay the full course fee.

All cancellation requests must be emailed to the IMI at mindful@innermindinstitute.org with ‘cancellation request’ in the subject line. These referenced emails will be  acknowledged by the IMI within 24 hours of receipt (Monday – Friday, 9am – 5pm CET). Until an acknowledgement is received by the IMI, the cancellation request will not be valid or effective. 

6.6 Refund: If a refund is approved by the IMI, it will be made through the original mode of payment only, unless a card has expired and new card details are obtained.

7. Retreat

7.1 Passports, Visas and Health Documents:  It is your responsibility to ensure that you are in possession of all necessary travel and health documents before departure. We regret we cannot accept liability if you are refused entry onto any transport or into any country due to failure on your part to carry the right documentation. If failure to have any necessary travel or other documents results in fines, surcharges or other financial penalty being imposed on us, you will be responsible for reimbursing us accordingly.

7.2 Insurance: It is your responsibility to ensure that you obtain the relevant insurance cover once the your booking has been confirmed by us. We consider adequate travel insurance to be essential. Please read your policy and take it with you on the Retreat. It is your responsibility to ensure that the insurance cover you purchase is suitable and adequate for your particular needs.

7.3 Payment: Your place is not confirmed until full payment has been made.

A payment of the full invoiced amount must be received by the IMI within fourteen (14) days after the invoice date. If we do not receive this balance in full and on time, we reserve the right to treat your booking as cancelled by you in which case the cancellation charges may become payable. Your place is not confirmed until full payment has been made.

7.4 Cancellation by Participant: You, or any member of your party, may cancel your Retreat at any time.

Written notification by email to mindful@innermindinstitute.org from the ‘lead name’ on the booking must be received. We regret we cannot pay any expenses, costs or losses incurred by you as a result of any change or cancellation if you cancel the Retreat.

The following Retreat cancellation charges apply:

  • Cancellation up until 90 days before the first day day of the Retreat – a cancellation fee of €250.00 will be charged.
  • Cancellation less than 60 days before the first day day of the Retreat – 50% of the full fee will be retained by us.
  • Cancellation less than 45 days before the first day day of the Retreat – 75% of the full fee will be retained by us.
  • Cancellation less than 30 days before the first day day of the Retreat – 100% of the full fee will be retained by us.
  • Cancellation upon or after the first day day of the Retreat– 100% of the full fee will be retained by us.

Please note, if only some members of your party cancel, in addition to incurring the applicable cancellation charges, we will recalculate the Retreat cost for the remaining people in your party.

Donations (payments that were made for Retreats on a donation base) will not be refunded.

7.5 Cancellation by the IMI: The IMI reserves the right to cancel a retreat under any circumstances. In this event, the IMI will promptly inform all participants and schedule a new date for the retreat as soon as possible. The IMI accepts no further liability for retreat cancellations beyond the retreat registration fee refund. For example we cannot be liable for any funds spent on advance travel arrangements, such as flight tickets and visas.

8. Intellectual Property Rights

8.1 Service Content, Software and Trademarks:You acknowledge and agree that the Service may contain content or features (“Service Content”) that are protected by copyright, patent, trademark, trade secret or other proprietary rights and laws. Except as expressly authorized by The Inner Mind Institute, you agree not to modify, copy, frame, scrape, rent, lease, loan, sell, distribute or create derivative works based on the Service or the Service Content, in whole or in part, except that the foregoing does not apply to your own User Content (as defined below) that you legally upload to the Service. In connection with your use of the Service you will not engage in or use any data mining, robots, scraping or similar data gathering or extraction methods. 

The technology and software underlying the Service or distributed in connection therewith are the property of The Inner Mind Institute, our affiliates and our partners (the “Software”). You agree not to copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, or otherwise transfer any right in the Software. Any rights not expressly granted herein are reserved by The Inner Mind Institute.

The Inner Mind Institute name and logos are trademarks and service marks of The Inner Mind Institute (collectively the “The Inner Mind Institute Trademarks”).

8.2 Third Party Material: Under no circumstances will The Inner Mind Institute be liable in any way for any content or materials of any third parties (including users), including, but not limited to, for any errors or omissions in any content, or for any loss or damage of any kind incurred as a result of the use of any such content. You acknowledge that The Inner Mind Institute does not pre-screen content, but that The Inner Mind Institute and its designees will have the right (but not the obligation) in their sole discretion to refuse or remove any content that is available via the Service. Without limiting the foregoing, The Inner Mind Institute and its designees will have the right to remove any content that violates these Terms of Service or is deemed by The Inner Mind Institute, in its sole discretion, to be otherwise objectionable. You agree that you must evaluate, and bear all risks associated with, the use of any content, including any reliance on the accuracy, completeness, or usefulness of such content.

8.3 User Content Transmitted: Through the Service: With respect to the content or other materials you upload through the Service or share with other users or recipients (collectively, “User Content”), you represent and warrant that you own all right, title and interest in and to such User Content, including, without limitation, all copyrights and rights of publicity contained therein, and that you have all required rights to post or transmit such content or other materials without violation of any third-party rights. By uploading any User Content you hereby grant and will grant The Inner Mind Institute, its affiliated companies and partners (including but not limited to The Inner Mind Institute instructors, practitioners and other third parties providing instructional information through the Services, collectively “partners”) a nonexclusive, worldwide, royalty free, fully paid up, transferable, sublicensable, perpetual, irrevocable license to copy, display, upload, adapt, perform, publish, distribute (through multiple tiers of distribution and partnerships), store, modify and otherwise use and fully exploit your User Content in any and all media, form, medium, technology or distribution methods now known or later developed and for any and all purposes (commercial or otherwise).

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback or other information relevant to the Service (“Submissions”), provided by you to The Inner Mind Institute, its affiliated companies or partners are non-confidential and The Inner Mind Institute, its affiliated companies and partners will be entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you.

You acknowledge and agree that The Inner Mind Institute may preserve content and may also disclose content if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (a) comply with legal process, applicable laws or government requests; (b) enforce these Terms of Service; (c) respond to claims that any content violates the rights of third parties; or (d) protect the rights, property, or personal safety of The Inner Mind Institute, its users and the public. You understand that the technical processing and transmission of the Service, including your content, may involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.
